DataBridge Terms of Service

AGREEMENT TO TERMS
These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and E. CFO Pty Ltd (“we,” “us” or “our”), concerning your access to and use of the DataBridge Google Workspace™ Add-on, as well as any related website or application (collectively, the “Service” or "Application"). You agree that by installing, accessing, or using the Service, you have read, understood, and agree to be bound by all of these Terms of Service. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF SERVICE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICE AND YOU MUST DISCONTINUE USE IMMEDIATELY.
FEES AND PAYMENT
DataBridge is currently provided to users free of charge. We do not collect credit card information, billing details, or process payments at this time. We reserve the right to introduce fees for the Service or premium features in the future. Should we decide to introduce fees, we will provide you with reasonable advance notice, and you will have the option to either agree to the new fees or discontinue your use of the Service without penalty.
ZERO-DATA STORAGE MODEL & SECURITY
DataBridge operates strictly as a data conduit between your third-party accounting software and your Google Workspace™ environment. We operate under a "Zero-Data Storage Model," meaning we do not store, host, or maintain backend access to your financial data. Your data resides entirely within your own Google Sheets™ and Google Workspace™ environment.
Consequently, you are solely responsible for securing your Google Workspace™ account, including utilizing strong passwords, implementing two-factor authentication (2FA), and managing document sharing permissions appropriately. We accept no liability for unauthorized access to your data resulting from compromised Google Workspace™ credentials or improper sharing settings.
THIRD-PARTY API RELIANCE
Our Service relies entirely on continuous integration and APIs provided by third-party platforms, specifically MYOB (accounting software) and Google Sheets™ / Google Workspace™.
You acknowledge and agree that DataBridge is not responsible or liable for any service interruptions, data syncing failures, formatting errors, or complete loss of Service functionality caused by:
- Downtime, outages, or rate-limiting on MYOB's or Google's servers.
- Changes, deprecations, or modifications made by MYOB or Google to their respective APIs.
- Your failure to maintain active, compliant, and properly authenticated accounts with MYOB or Google Workspace™.
FINANCIAL AND TAX ADVICE DISCLAIMER
DataBridge is a technical software tool designed solely for the automated transfer and formatting of data. DataBridge does not provide, nor does it constitute, professional accounting, financial, or tax advice.
You and your professional advisors (such as your accountant or tax agent) remain entirely and solely responsible for reviewing the accuracy of the synced data, maintaining accurate financial records, and ensuring strict compliance with all applicable tax laws and regulations (including the ATO or IRD requirements). We are not liable for any financial errors, tax miscalculations, or compliance failures resulting from the use of the Service.
INTELLECTUAL PROPERTY RIGHTS
Unless otherwise indicated, the Service is our proprietary property. All source code, databases, functionality, software, designs, text, and graphics in the Service (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights.
Except as expressly provided in these Terms of Service, no part of the Service may be copied, reproduced, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.
USER REPRESENTATIONS
By using the Service, you represent and warrant that: (1) all integration and account information you provide is true, accurate, current, and complete; (2) you have the legal capacity and authority to bind the entity you represent to these Terms of Service; (3) you will not use the Service for any illegal or unauthorized purpose; and (4) your use of the Service will not violate any applicable law or regulation.
PROHIBITED ACTIVITIES
You may not access or use the Service for any purpose other than that for which we make the Service available. You agree not to:
- Circumvent, disable, or otherwise interfere with security-related features of the Service.
- Attempt to reverse engineer, decompile, or extract the source code of the DataBridge application.
- Use the Service in a manner inconsistent with any applicable laws or regulations.
- Interfere with, disrupt, or create an undue burden on the networks or services connected to the Service.
MODIFICATIONS AND INTERRUPTIONS
We reserve the right to change, modify, or update the Service at any time. We will provide you with reasonable written notice (at least 30 days) of any material changes to these Terms of Service that adversely affect your rights. If you do not agree with the modified terms, you have the right to cancel your use of the Service (and receive a pro-rata refund for any pre-paid fees, should fees be introduced in the future) before the changes take effect. Your continued use of the Service after the notice period will constitute your acceptance of the revised terms.
We cannot guarantee the Service will be available at all times. We may experience hardware, software, API, or other problems resulting in interruptions, delays, or errors. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Service during any downtime.
TERM, TERMINATION & DATA RETENTION
These Terms of Service shall remain in full force and effect while you use the Service. You may terminate your use of the Service at any time by uninstalling the Add-on and disconnecting your MYOB integration.
Data Retention Upon Termination: Because DataBridge operates under a zero-data storage model, there is no financial data for us to extract, return, or delete from our systems upon your cancellation. All historical synced data remains safely within your Google Sheets™ environment. Terminating your use of the Service simply revokes DataBridge's API permissions to sync new data moving forward.
PRIVACY POLICY
We care about data privacy and security. Please review our Privacy Policy. By using the Service, you agree to be bound by our Privacy Policy, which is incorporated into these Terms of Service. We comply with the requirements of the Privacy Act 1988 (Cth) regarding the collection, use, and disclosure of personal information.
DISCLAIMER (WITH CONSUMER GUARANTEE CARVE-OUT)
THE SERVICE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICE WILL BE AT YOUR SOLE RISK.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND SUBJECT TO ANY NON-EXCLUDABLE GUARANTEES UNDER THE AUSTRALIAN CONSUMER LAW (ACL) AND THE NEW ZEALAND CONSUMER GUARANTEES ACT (CGA), WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF.
Where the ACL, CGA, or any other relevant legislation implies a condition or guarantee that cannot be legally excluded, our liability for a breach of such condition or guarantee is limited, at our absolute discretion, to either: (a) supplying the services again; or (b) the payment of the cost of having the services supplied again.
LIMITATIONS OF LIABILITY
SUBJECT TO THE CONSUMER GUARANTEES OUTLINED IN THE DISCLAIMER ABOVE, IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
INDEMNIFICATION
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms of Service, your violation of the rights of a third party, or any overt harmful act toward any other user of the Service, except to the extent that such loss or liability was caused or contributed to by our own negligence or breach of these Terms.
GOVERNING LAW AND DISPUTE RESOLUTION
Governing Law: These Terms of Service and your use of the Service are governed by and construed in accordance with the laws of the Australian Capital Territory (ACT), Australia, without regard to its conflict of law principles.
Informal Negotiations: To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms of Service brought by either you or us, the Parties agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating legal proceedings.
Jurisdiction: If the Parties are unable to resolve a Dispute through informal negotiations, the Parties agree to submit to the exclusive jurisdiction of the state and federal courts located in the Australian Capital Territory, Australia, to resolve any legal matters arising from these Terms of Service.
MISCELLANEOUS
These Terms of Service and any policies posted by us constitute the entire agreement between you and us. Our failure to exercise or enforce any right or provision shall not operate as a waiver of such right or provision. If any provision is determined to be unlawful, void, or unenforceable, that provision is severable and does not affect the validity of remaining provisions. You agree that these Terms of Service will not be construed against us by virtue of having drafted them.
